Andrea Fuentes Gallego

Andrea Fuentes Gallego joined BMC in 2023 after five years of commercial law practice, the first of them at a Seville commercial law firm where she built her technical foundation before relocating to Madrid. Her work centres on commercial contracts, corporate governance, and the corporate reorganisation transactions increasingly demanded by family businesses and expanding groups.

In her day-to-day practice she advises on the drafting and negotiation of complex commercial contracts, shareholder agreements, and joint venture arrangements, with particular attention to deadlock resolution mechanisms, drag-along and tag-along rights, and exit provisions. She has managed corporate restructurings under the simplified regime, including mergers and demergers of moderate scale, coordinating the process with the client’s tax advisers and auditors to ensure coherence across the transaction as a whole.

Her ICADE training provides a rigorous analytical framework that she combines with a practical orientation toward the outcomes her clients need. She frequently serves as board adviser, preparing the legal content for board meetings, monitoring compliance with the articles of association, and advising on directors’ duties in situations of corporate risk.
