Total demergers may qualify for tax neutrality without constituting business lines

The Directorate General of Taxes (DGT) has clarified the tax treatment applicable to total company demerger operations, especially in the context of the new commercial provisions recently introduced.

What the DGT has resolved

The binding ruling establishes that a total demerger of a company may qualify for the tax neutrality regime provided for in Corporate Income Tax (IS). To achieve this, the operation must comply with the total demerger requirements detailed in Article 76.2.1º.a) of the Corporate Income Tax Law (LIS) and adhere to the commercial terms of Royal Decree-Law 5/2023.

A key aspect of this resolution is that, as it involves a proportional attribution of values to the shareholders, it is not mandatory for the assets subject to division to constitute independent business lines. Under these conditions, the following effects occur:

  • The income generated will not be integrated into the taxable base of the transferring company or the acquiring companies.
  • Shareholders resident in Spain will not integrate income from the attribution of the values received.

However, the DGT warns that this neutrality regime will not be applicable if it is determined that the primary objective of the operation is tax fraud or evasion.

What this means for you

For companies, this resolution allows for reorganization processes through total demergers without the transferring company having to integrate capital gains into its taxable base, which avoids an immediate tax burden during the restructuring.

For shareholders resident in Spain, the operation maintains fiscal continuity. This implies that no income will be generated from the attribution of the values and that these will maintain their original tax values and acquisition dates for future operations.

What should be done

Since the application of tax neutrality strictly depends on compliance with the requirements of the LIS and the absence of fraudulent purposes, it is necessary to analyze the structure of the operation before its execution. It must be verified that the demerger complies with the commercial terms of Royal Decree-Law 5/2023 and that the attribution of values to the shareholders is proportional, thereby ensuring the correct application of the neutrality regime.
