In short

In BMC One Strategy, every merger, acquisition or funding round has its data room, with folders for what is requested, a trail for every document and a chained, sealed access log.

No document can be deleted or changed, not even by our team, and every download is recorded. The analysis, the valuation and the recommendation are prepared and signed by people on BMC's team.

BMC One comes with every BMC engagement, and you start with a free first meeting.

68 capabilities in six areas, each on one line: who carries it out and what it depends on.

The data room13 capabilities One room per transaction with your group and its subsidiaries, folders for what is requested, their coverage and a log that nobody can alter. See all 13Close

In your portal

  • A secure room per transaction, bringing together the group company and its subsidiaries, with numbered folders that follow the requested documentation. Our team opens it; setting it up from the platform is in preparation.Partial
  • The room overview: documents, volume, the week's uploads and folders covered against those requested.
  • The full index: search, filter by status, sort and see who uploaded each document, when, in which folder and where it stands. In Spanish, English, French or German.
  • The journey of each document: received, virus-scanned, indexed, every download and every tag change, with the data read from it and a proposed title.
  • The room's activity in plain sentences, day by day, and a chained access log that nobody can alter.
  • A security and custody panel that explains where your documents live and how they are protected.
  • Nothing is deleted or altered once submitted, not even by our team: a document can only be moved to another folder or given a clear name, and the original name is kept.
  • Each download, with a signed link that expires in about two minutes and is logged.

Who enters the room

  • Invitations to the other party (seller, buyer, investors, advisers) with three roles: upload and view, view only, or manage. Our team sets them up.Partial
  • Anyone who only takes part in one room enters a reduced portal: that room and their profile, nothing else.

Automatic

  • An email summary, in your language, of what came in over the last 24 hours, by company and folder; if there were no uploads, we do not write to you. Its scheduled daily sending is being fine-tuned.Partial

Document upload and reading15 capabilities Up to 512 MB per file, with antivirus, ZIPs unpacked safely, duplicates collapsed and each document read and taken to its folder. See all 15Close

In your portal

  • Uploading to the room up to 512 MB per file (PDF, image, Office, CSV or ZIP), choosing the company and folder or letting the platform classify it.
  • The status of each upload as it happens (antivirus, reading, filing), which persists even if we update the platform.
  • Adding and correcting tags and a note on each document, without touching the document. Tags added at upload are replaced when it is filed; tags edited afterwards stay.Being fine-tuned

Automatic

  • Antivirus scan of every file before it is published: anything infected is held back and cannot be downloaded.
  • ZIPs are unpacked, including ZIPs inside other ZIPs, without loading them entirely into memory; ZIP bombs are detected before anything is published and each document inside goes through the antivirus.
  • Repeated documents within the same room are shown collapsed, as a duplicate of the first, and are not analysed again.
  • Each document is read and classified (invoice, deed, accounts, contract…) with tags for type, language, financial year and NIF.
  • Automatic filing: each document moves from the inbox to its folder by type, preferably its subsidiary's folder; anything that does not fit is filed by our team. Today it replaces the tags added at upload.Partial
  • The reader opens almost any format in a historical archive: native or scanned PDF, Word, Excel, PowerPoint, emails, ZIP, tar, RAR, 7z and e-invoices; for ZIP and 7z it tries the usual passwords. An encrypted RAR cannot be opened.
  • It extracts the data, with its confidence level, from invoices, payslips, delivery notes, contracts (parties, purpose, value, dates and renewal), bank statements and tax returns.
  • Every half hour, a detector flags stuck ZIPs and documents with the reason and alerts our team once only.

Our team

  • Uploads to the room what you send us by email, through the same airlock and in the name of whoever uploads it.
  • Monitors the Google Drive folders where you leave documentation for us, with a summary for the team.
  • BMC Docs: an index of your account's documents, from five sources, with their record, their trail and what they generated (journal entries, case files, corrections).
  • Sending individual documents to the reader from the platform and seeing the work in progress and the reader's status.Being fine-tuned

Questions about Strategy

What is an M&A data room?

It is the space where seller, buyer and advisers share the documents of a merger, acquisition or funding round. In BMC One, our team opens the room with folders for what is requested, each party joins with its role (upload and view, view only, or manage) and every document has its trail: received, antivirus, indexed and every download, with who and when.

If what you are looking for is an adviser for the transaction, see our mergers and acquisitions advisory service.

How is due diligence organised, including tax due diligence?

Our team works with checklists by type of company, with 76 questions in 7 areas: financial, legal, tax, commercial, technology, employment and ESG, each with its PDF report. It is partial: a transaction cannot yet be created in the system. The documents requested arrive in the data room, each with its trail, so every party can see what was delivered.

The full service is due diligence with BMC, and its tax side, tax due diligence.

Does BMC One value companies?

The valuation is prepared and signed by people on our team. They use a calculator with three methods (indicative sector multiples, discounted cash flow and comparables), with a low, mid and high range and a PDF report. It is partial: a transaction cannot yet be created in the system. You do not see the calculator: you receive the signed valuation.

If you need a signed valuation, see business valuations with an adviser.

Who can see the data room?

Only the people invited, each with their role: upload and view, view only, or manage. Anyone who only takes part in one room sees that room and their profile, nothing else. Each download uses a link that expires in about two minutes and is recorded in the access log, where each entry seals the one before it.

Can I delete a document I uploaded by mistake?

No. Once submitted, nobody can delete it or change its content, not even our team. What we can do is move it to another folder or give it a clear name, and the original name is kept. That way every party in the transaction has a record of what was delivered and when.

Where are the documents stored?

On our own dedicated servers in the European Union, with our own document reader. Every file goes through an antivirus scan before it is published, anything the antivirus rejects cannot be downloaded, and all traffic is encrypted. A panel in the room explains where your documents live and how they are protected.

Can the investor use the room in their own language?

Yes. The room, its document trails and its activity are available in Spanish, English, French and German, and the summary of what has come in reaches each person in their language, only on days with activity. A foreign investor follows the transaction without translating anything, with the same documents as the other parties.

Does artificial intelligence value or recommend anything?

No. We use it to read, classify and file documents on our own servers. The analysis, the valuation and the recommendation are prepared and signed by people on our team. Your assistant searches your conversations with BMC and public doctrine, but the documents you upload to the room do not go into that search.
