Partial financial spin-offs and mergers may apply tax neutrality

Corporate reorganization operations, such as partial financial spin-offs or mergers by absorption, benefit from a tax neutrality framework that seeks to avoid immediate tax burdens during restructuring processes. Recently, the Directorate General of Taxes (DGT) has specified the limits and conditions for these operations to qualify for said regime.

What the DGT has ruled

The binding ruling determines that an improper partial financial spin-off may benefit from the tax neutrality regime as long as it meets the requirements of Article 76.2.1º c) of the Law on Corporate Income Tax (LIS) and is classified as a commercial spin-off. For its part, mergers by absorption may apply this regime if they are carried out under the terms of Article 76.1 c) of the same law.

A key point of the resolution is the management of tax loss carryforwards. The DGT points out that the existence of these losses does not invalidate the application of the neutrality regime, provided that the predominant purpose of the operation is not their exploitation. The body warns that the regime will not be applicable if it is determined that the main objective of the restructuring is fraud or tax evasion.

What it means for you

For companies undergoing reorganization processes to optimize their structure, this clarification provides legal certainty regarding the viability of tax neutrality in complex operations. It means that the presence of accumulated tax losses does not, in itself, constitute an impediment to applying the regime, provided that the economic substance of the operation is legitimate.

What should be done

In the event of a potential corporate reorganization, it is necessary to evaluate the nature of the operation to ensure it meets the classification of a commercial spin-off or the merger terms provided in the LIS. It is fundamental to document that the structure of the operation responds to an optimization logic and not to an intention to exploit tax loss carryforwards, in order to prevent the Administration from questioning the purpose of the transaction.
