Current position

The substitution of securities for others with different economic rights constitutes a share exchange pursuant to Article 17.4 of the LIS (Corporate Income Tax Law). Entities must include in their tax base the difference between the market value of the acquired holdings and the tax value of those transferred. The new holdings are valued at their normal market value.

The DGT's position remains constant in defining a share exchange as a taxable event that requires the inclusion of the difference between the market value and the book value. Coherence has been maintained between the treatment for entities and the application of special neutrality regimes for partners. No changes in criterion are observed, but rather a reaffirmation of the taxable nature of the operation.
