Current position

To apply the special regime for total spin-offs, there must be a division of the entirety of the assets and a proportional attribution of values to the shareholders. If the attribution is proportional, it is not a requirement that the segregated assets constitute business lines. The regime will not apply if the main objective of the operation is tax advantage, fraud, or evasion.

The DGT's position has remained constant since 2014. The criterion establishes that proportionality in the attribution of values exempts the need for the segregated assets to be business lines. The rulings reiterate the requirement for valid economic reasons to avoid the application of the anti-avoidance rule.
