Companies contributing undivided interest shares may apply tax neutrality

The management of real estate assets through the contribution of participation shares in undivided property has raised doubts regarding its tax treatment. The Spanish Tax Agency's General Directorate of Taxes (DGT) has recently clarified whether these operations can benefit from the special tax neutrality regime provided for in current regulations.

What the DGT has ruled

The advisory body has determined that the contribution of an ideal share of an undivided asset constitutes a non-monetary contribution, in accordance with the provisions of Article 87.1 of the Corporate Tax Law (LIS), and should not be classified as a line of activity.

For this operation to qualify for the tax neutrality regime, the contributing entity must meet two fundamental conditions:

  • Participation requirement: The contributing entity must maintain a participation of at least 5% in the equity of the recipient entity.
  • Economic substance: The operation cannot have the primary objective of tax fraud or evasion; therefore, valid economic reasons must exist to justify the transaction.

What it means for you

For companies operating with real estate assets or interests in common property, this criterion provides legal certainty regarding the nature of the contribution. By confirming that it is a non-monetary contribution, the path is opened to apply the tax neutrality regime, provided that the minimum required participation in the recipient company is guaranteed.

This scenario is relevant for corporate reorganization processes where the asset is not full ownership, but rather an ideal share or an undivided part of a property. The key to the operation's tax success lies in the resulting capital structure and in justifying the operation beyond tax savings.

What should be done

In the event of such an operation, it is necessary to verify that the contribution structure strictly complies with the participation percentage in the equity of the entity receiving the asset. Likewise, the economic reason for the operation must be documented to prevent the Administration from considering it a maneuver for purely tax purposes. It is recommended to assess the specific situation of the company and the nature of the contributed share before proceeding with the transaction.
