Current position
The transformation of the legal form does not alter the legal personality of the entity nor the seniority of the holdings. In the case of cooperatives transforming into limited liability companies, the acquisition date of the assets is maintained. For fully paid-up capital increases, the acquisition value is the total cost divided by the number of old shares and the newly issued shares.
The DGT's position remains constant regarding the continuity of legal personality following a transformation. Recent rulings reinforce that this process does not alter the seniority of the holdings nor the acquisition date of the assets, allowing for the application of reduction coefficients according to current regulations.
