Administrators must prove the causality of their relocation to access the special Personal Income Tax regime

Access to the special taxation regime for individuals relocating to Spain to hold administrative positions is subject to strict requirements that go beyond mere appointment. The recent interpretation by the Dirección General de Tributos (DGT) focuses on the direct connection between the reason for the move and the function to be performed.

What the DGT has ruled

The tax authority has determined that the application of the special regime regulated in Article 93 of the Personal Income Tax Law (LIRPF) requires a causal relationship between the relocation to Spanish territory and the acquisition of the status of administrator. It is not enough to reside in Spain and hold the position; the reason for the move must be, precisely, the exercise of said administration.

Furthermore, the ruling establishes two additional fundamental limitations:

  • Nature of the company: If the company is classified as a holding company (entidad patrimonial), the administrator will not be able to opt for this regime if their participation determines that the company is a linked entity.
  • Burden of proof: Both the classification of the company and the existence of causality in the relocation are matters of fact that must be proven to the Administration.

What this means for you

If you are an individual planning to move to Spain to take over the administration of a company, you must consider that the tax benefit is not automatic. The Administration will require evidence demonstrating that your arrival in Spain is primarily caused by the management of the entity. Additionally, the structure of the company is decisive: if the company has a purely holding nature, access to this regime could be blocked depending on the level of participation held by the administrator.

What should be done

In such a situation, it is necessary to conduct a prior analysis of the corporate structure and the circumstances motivating the relocation. It is essential to have documentation that supports the causality of the relocation and to verify that the nature of the company does not contravene the requirements of the LIRPF and the Corporate Tax Law (LIS). Since these are matters of fact, preparing documentary evidence is a critical step before requesting the application of this regime.
