Requirements for the contribution of a business line to qualify for the tax neutrality regime

A company seeks to transfer its real estate leasing activity to another entity to separate risks and manage resources. The DGT evaluates whether this operation qualifies for the tax neutrality regime under Corporate Tax.

The question raised

1. Whether the non-monetary contribution of a business line from company A (namely, the economic activity of real estate leasing) to company B may be subject to the special regime provided for in Chapter VII of Title VII of Law 27/2014, of November 27, on Corporate Income Tax. 2. Whether the economic reasons indicated for the contribution are considered valid. 3. Taxation of the transaction for the purposes of Value Added Tax and Tax on the Increase in Value of Urban Land. 4. Possibility for company B to apply the special regime for entities engaged in residential leasing provided for in Chapter III of Title VII of Law 27/2014 on Corporate Income Tax.

The DGT's ruling

La aportación de una rama de actividad puede acogerse al régimen de neutralidad fiscal si el patrimonio transmitido constituye una unidad económica autónoma capaz de funcionar por sus propios medios. Para ello, la actividad debe existir previamente en la entidad transmitente y contar con una organización empresarial diferenciada. La operación debe realizarse por motivos económicos válidos y no tener como objetivo principal el fraude o la evasión fiscal. La valoración de los bienes y derechos adquiridos se realizará por los mismos valores fiscales que tenían en la entidad transmitente.
