A company asks whether a partial split and a subsequent financial split of a non-resident entity may benefit from the special corporate tax regime. The DGT responds that this is possible if the activity branch requirements are satisfied and the operation is not primarily aimed at obtaining tax advantages.
Cuestión planteada Posibilidad de que tanto la primera como la segunda operación de escisión proyectada pueda acogerse al régimen fiscal especial regulado en el capítulo VII del título VII de la Ley 27/2014, de 27 de noviembre, del Impuesto sobre Sociedades. En particular, si puede entenderse que las razones económicas alegadas son suficientes a efectos de lo dispuesto en el artículo 89.2 LIS. Es decir, si puede entenderse que existen motivos económicos válidos para la aplicación del régimen.
Para aplicar el régimen especial de escisión, el patrimonio segregado debe constituir una unidad económica autónoma (rama de actividad) y la entidad escindida debe mantener otra rama de actividad. En el caso de escisión financiera, el patrimonio segregado debe consistir en participaciones mayoritarias y la entidad escindida debe mantener participaciones mayoritarias en otras entidades o una rama de actividad. Además, la operación debe realizarse por motivos económicos válidos, como la reestructuración o racionalización de actividades, y no con la mera finalidad de obtener una ventaja fiscal.
