Tax group not dissolved if the parent entity becomes a subsidiary of a non-resident entity

The taxpayer inquired whether their tax group would be dissolved and if its group number would change if the current parent entity ceased to be the parent and instead became a subsidiary of a non-resident entity. The DGT ruled that the group is not dissolved and retains its number, provided the requirements for the new parent entity are met.

Cuestión planteada 1. Si la entidad dominante del grupo pasaría a ser la entidad U y si se modificaría el número de grupo fiscal que actualmente tiene la consultante.

The DGT's ruling

Si la entidad dominante actual se convierte en dependiente de una entidad no residente por aplicación del artículo 58 de la LIS, el grupo fiscal no se extinguirá y conservará su número. Las entidades que cumplan las condiciones para ser dependientes pero no formaran parte del grupo anteriormente, se integrarán en el primer período impositivo iniciado a partir de 2015. La nueva entidad dominante no residente debe designar a la entidad representante del grupo fiscal.
