Ferrol-San Cibrao Port Authority: new management and operating rules for the Board of Directors approved

The Ferrol-San Cibrao Port Authority has approved a consolidated text of its Rules for the management and internal operation of the Board of Directors (Art. 1). This resolution incorporates technical and drafting amendments to regulate the organisation, economic regime, and functions of the Board's Secretary (Art. 2). The regulation is based on Royal Legislative Decree 2/2011 and Law 40/2015 (Art. 2).

In 2 key points

  1. Board members must receive the meeting notice and the agenda information at least 72 hours in advance (Art. 11.a). (art. 11.a)
  2. Board members are prohibited from performing their duties when a conflict of interest arises (Art. 11). (art. 11)

How it affects those involved

For members of the Board of Directors, the regulation establishes clear rules regarding the receipt of meeting notices at least 72 hours in advance and the right to receive information on the agenda within the same period (Art. 11.a). The regime for incompatibilities and the prohibition from performing duties in the event of a conflict of interest are reinforced (Art. 11). For companies and individuals operating in the ports of Ferrol and San Cibrao, the regulation ensures legal certainty in the decision-making process of the body managing the public port domain.
