Offsetting gains and losses in the liquidation of different companies

The dissolution and subsequent liquidation of a company entails tax consequences for its partners. The result of this process, which arises from the difference between the acquisition value of the holding and the value of the liquidation quota or the market value of the assets received, constitutes a capital gain or loss that must be included in the income tax return.

What the DGT has ruled

The Dirección General de Tributos (DGT) has addressed the question of whether it is possible to offset results obtained in the liquidation processes of different entities. The criteria establish that capital gains and losses resulting from the dissolution of a public limited company (sociedad anónima) can be offset against losses derived from the liquidation of a limited liability company (sociedad limitada).

This possibility of offsetting is based on the nature of the results, which are integrated into the savings tax base. The regulations allow the different elements that compose said base to be grouped together to determine the net result to be taxed.

If you are a partner in several companies and these enter a dissolution process, the tax results are not analyzed in isolation for each entity, but rather in an aggregate manner in your IRPF tax return. This implies that a capital loss suffered in the liquidation of one company can reduce the tax burden of a gain obtained in the liquidation of a different company.
