The special spin-off regime may be applied if the operation is proportional and has valid economic reasons

A company inquired whether its proportional total spin-off project could qualify for the special regime of the LIS and whether its reasons were valid. The DGT responds that, as it is a proportional spin-off, it meets the requirements and that the alleged reasons are economically valid.

The question raised

Question posed: Whether the proposed operation could qualify for the special tax regime regulated in Chapter VII of Title VII of the Corporate Income Tax Law. And whether the economic reasons can be considered valid for the purposes of applying the aforementioned special regime.

The DGT's ruling

If the total spin-off is carried out proportionally according to commercial regulations, it is not necessary for the segregated assets to constitute business lines to apply the special regime of Article 76 of the LIS. Likewise, the reasons of separating risks, improving management, professionalizing treasury, and facilitating family succession are considered valid economic reasons to avoid the application of the prohibition due to purely tax purposes under Article 89.2 of the LIS.
