An entity has requested clarification on whether the partial spin-off of a rural estate operation constitutes valid economic reasons for the special regime. The DGT indicates that rationalisation and risk separation may be valid reasons, provided that the requirements regarding the line of activity are met and proportionality is maintained in the allocation of shares.
Cuestión planteada 1. Si en relación con la proyectada escisión parcial de la actividad económica consistente en la explotación de la finca rústica los motivos económicos aludidos se considerarían motivos económicos válidos a efectos del artículo 89.2 de la Ley del Impuesto sobre Sociedades a efectos de proceder a la aplicación del régimen fiscal especial del capítulo VII del título VII de la Ley del Impuesto sobre Sociedades.
Para acogerse al régimen especial, la escisión debe cumplir los requisitos del artículo 76.2.1º.b) de la LIS, incluyendo la transmisión de una rama de actividad y la adjudicación proporcional de participaciones a los socios. Los motivos de racionalización de actividades y separación de riesgos pueden considerarse económicos válidos según el artículo 89.2 de la LIS. No obstante, si tras la escisión un socio transmite sus participaciones a los demás o a la propia sociedad, la operación dejaría de ser proporcional y no podría aplicar el régimen especial.
