Partial financial split and business line contribution may qualify for fiscal neutrality

A hotel company asks whether its restructuring process (partial financial split, business line contribution, and merger) meets the legal requirements for fiscal neutrality. The DGT examines whether the financial split and business line contribution satisfy the conditions to exclude capital gains.

The question raised

(i) Confirmation that the reorganization operations described in this Ruling (partial financial spin-off, contribution of a line of business, and merger) comply with all legally provided requirements to apply the tax regime of Chapter VII of Title VII of the Corporate Income Tax Law.

The DGT's ruling

Partial financial spin-off meets the requirements if the entity maintains majority holdings in other companies or a line of business. The contribution of a line of business is valid if the assets constitute an autonomous economic unit capable of operating by its own means. Merger by absorption may qualify for the neutrality regime if it is carried out within the commercial sphere and complies with Corporate Income Tax regulations. The regime shall not apply if the primary objective is tax fraud or evasion.
